These Terms of Use are a legal agreement between you and Office Vero LLC, a Florida limited liability company (“Office Vero”, “we”, “us”). By accessing officevero.com or creating a member account, you accept these terms. If you do not accept them, please do not use this website.
1. Who we are
This website is operated by Office Vero LLC, 2063 Indian River Blvd, Vero Beach, Florida 32960. References to “the workspace” mean the Office Vero premises at that address.
2. Use of this website
You may use this website to learn about our workspace, inquire about availability, manage your membership, and book the conference room. You agree not to use the website for any unlawful purpose, not to interfere with its operation or security, and not to copy, scrape, frame, or redistribute its content without our written permission.
3. Accounts and door codes
You are responsible for keeping your login credentials, building entrance code, and office code confidential, and for all activity that occurs under your account or codes. Notify us immediately at help@officevero.com if you believe your account or a code has been compromised. We may suspend or terminate an account that is shared, misused, or associated with a breach of these terms or of the Acceptable Use Policy.
4. Memberships, offices and fees
Membership and office license terms are set out in your Membership Agreement. In summary: memberships are billed monthly in advance, renew on the 1st of each month, and a start date mid-month is prorated for that first month. The initial term is six (6) months; after the initial term the membership continues month to month and may be ended by you, effective at the end of the month in which you give notice. A refundable security deposit equal to one month's fee is payable at signup and is returned when you leave provided there is no damage to the suite and no outstanding charges. Private offices are licensed as separate monthly subscriptions. If the Membership Agreement and these Terms conflict, the Membership Agreement controls.
5. Conference room bookings
Active members receive ten (10) hours of conference room use per calendar month. Additional hours, and all hours used by non-members or former members, are billed at $25 per hour. Included hours do not carry over between months and have no cash value. Bookings are subject to availability, to the conference room rules shown at the time of booking, and to our House Rules. We may cancel or move a booking where necessary for safety, maintenance, or where an account is past due.
6. Payments
Card payments are processed by our payment provider, Stripe. We do not store full card numbers. You authorize recurring charges to your saved payment method for membership fees, office fees, applicable card processing fees, overage hours, and any other amounts owed under your Membership Agreement. Accounts that are past due may lose access to bookings and to the workspace until the balance is cleared.
7. Membership agreements and electronic signature
You agree that signing your Membership Agreement electronically on this website has the same legal effect as a handwritten signature, and that records we keep of that signature (including the name you typed, the date and time, and the version of the agreement) are admissible evidence of your agreement.
8. Member content
If you upload a company logo, business name, or other material, you confirm you have the right to do so and you grant Office Vero a non-exclusive, royalty-free license to display it on this website and in materials that identify our member community. We may remove any uploaded material at our discretion.
9. Intellectual property
The Office Vero name, logo, site design, text, and photography are owned by Office Vero LLC or used under license, and are protected by United States copyright and trademark law. No rights are granted to you other than the limited right to view this website.
10. Availability and accuracy
Prices, suite availability, floor plans, images, and amenity information are provided for general guidance, may change, and do not constitute an offer. Quoted prices are valid at the time of inquiry and are based on a six-month member contract. We do not warrant that this website will be uninterrupted or error-free.
11. Limitation of liability
To the fullest extent permitted by Florida law, this website and its content are provided “as is” without warranties of any kind, and Office Vero LLC is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or lost data, arising out of your use of this website. Nothing in these Terms limits liability that cannot be limited by law. Your use of the workspace itself, and the allocation of risk for your property and your guests, is governed by your Membership Agreement.
12. Indemnity
You agree to indemnify Office Vero LLC against claims, losses, and reasonable legal fees arising from your breach of these Terms, your misuse of the website, or content you upload.
13. Links to other sites
Where we link to third-party sites or services, we do not control them and are not responsible for their content or practices.
14. Changes
We may update these Terms from time to time. The version posted on this page is the version in effect. Material changes affecting members will be communicated by email or in the member dashboard.
15. Governing law and venue
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. You and Office Vero LLC agree to the exclusive jurisdiction of the state and federal courts located in Indian River County, Florida for any dispute arising out of these Terms or this website.
